I would like to merger a private company...

Does anyone know how?

I'm owning both fully.

I'm owning already 100% of the company. It's a subsidiary. I've founded it. It was never quoted on the stock exchange.

Now, I don't need it anymore, so I would like merge it with the parent company. But it seems not possible.

The only way I found, is to make an IPO and to merge it. But if it's profitable, the price is too high to do so.

If you make a subsidiary, it should be possible to close it again. Perhaps I missed something somewhere...

Just pause the game, get a large enough loan that can pay off the IPO issued white stock, and since the money your sub get will come back to you after the merger, use it to pay back the loan, and it's done. There shouldn't be any net gain or lost. But if you cannot even get big enough loan, then you have serious issue, maybe transfer some of your building to the sub to gain some cash back, and reduce its assets?
