Would it be possible, I don't know if this happens in business, instead of a full merge at the time of buying out the rest of a companies shares say

"Merger" then have the option "Do you want to fully merger into your company or spin off the child company into a subsidary?"

Also, when paying special dividend in big number, the other 25% owners should also get the amount as per their percentage automatically, the stock price goes down and corporation looses money.
