one-off sale/purchase of an entire block of shares off-exchange
Hello. I would like to ask if it is possible to buy or sell a block of shares off-exchange. What I mean is this: I would like to sell the entire controlling stake in my subsidiary—putting it up for sale and negotiating the terms. Currently, the only option available to me is to sell it on the stock exchange in 5% tranches, which drives down the share price. The same applies to buying: I would like the option to acquire a controlling 51% stake through negotiations—for example, with a venture capital firm—rather than buying up shares in 5% increments on the exchange. Is this possible? Or have I perhaps overlooked such an option?

Agree, the whole buying and selling of shares needs a fresh overhaul at least when it comes to the 5% limit.

Another suggestion is to lower the initial capital required to set up the new company. It seems to me that a threshold of $1–2 million—covering just the incorporation and the hiring of a director—would be entirely sufficient, especially since we can always inject more capital or transfer assets from the parent company later on. In my view, the actual process of setting up the company should be relatively inexpensive.
